Over the past year, the Gascon real estate team, including Attorney Bruno Fraticelli, Notaries Marie-Chantale Dubé and Arine Nazirganian and Paralegals Cynthia Zakher and Linda Charbonneau, under the leadership of Partner Audrey Robitaille, has acted as legal counsel to Réseau MAclinique in connection with the establishment and structuring of sensitive partnerships for the acquisition, development, and ownership of health complexes located across several regions of Québec. Our services included, among other things:
- Designing and negotiating partnership structures tailored to the client’s operational and financial objectives, including the drafting of shareholders’ agreements and partnership agreements, real estate management, asset management and leasing management agreements, and governance mechanisms to ensure efficient and coordinated oversight of the various health complexes;
- Managing the acquisition of existing health centres, including comprehensive legal and operational due diligence, negotiation of purchase documentation, implementation of financing structures, and oversight of closing activities;
- Providing ongoing legal support for the management and expansion of the network, including strategic advice on business models, corporate organization, and the ownership of operational and real estate assets, as well as guidance regarding relationships with medical and corporate partners.
We have also advised Réseau MAclinique in connection with the acquisition of properties intended for redevelopment into mixed-use projects, including the establishment of limited partnerships and related corporate structures
